BY-LAWS

of the

BIO-PHARMACEUTICAL EDUCATION & TRAINING ASSOCIATION

(a Chapter of GMP TEA, Inc.)

PREAMBLE

Unless otherwise indicated, the Bio-Pharmaceutical Education & Training Association (hereafter known as BETA), has adopted outright the bylaws of the Good Manufacturing Practice Training & Education Association, Inc. (hereafter known as GMP TEA), revision 01, effective 31Jan2008.  Where differences are indicated, the BETA Chapter Bylaws take precedence based on chapter specific operational needs.  Any differences shall not jeopardize GMP TEA’s status as a not for profit organization, and shall be reviewed by the GMP TEA Board of Directors as appropriate.

 

ARTICLE 1: Name

The name of this organization is the Bio-Pharmaceutical Education & Training Association (hereafter known as BETA), a chapter of the Good Manufacturing Practice Training & Education Association, Inc. (hereafter known as GMP TEA).

Article 8: Election & Terms of Chapter Officers

8.3       The elected officers shall be President, Vice President, Secretary, Treasurer, Membership Coordinator, a Webmaster, at least two Advisory Members, and the Immediate Past President.

An officer may hold only one office per term.

8.4.      Officers shall serve for a term of one year and are eligible for re-election to office for up to one additional consecutive term. Each officer shall be elected for a one year term. The Immediate Past President shall serve as an Advisory Member.

8.5.      Any chapter member in good standing may be nominated for an office, provided said member shall have participated actively in BETA. Elections will be held from a slate of chapter officer members presented by the Chapter Officers or nominated from the floor of the business meeting. Incoming chapter officers will be elected by a simple majority of members present at the elections meeting. The officers so elected shall assume their respective offices for the next calendar year.

8.6.       Duties of the Chapter Officers:

8.6.1    The President:

The duties of this officer include setting the agenda for meetings, acting on suggestions from the membership, and representing the chapter on a local, regional, and national level. The specific duties of the President include:

§  Oversight of the Chapter and Chapter Officers

§  Coordinating meeting locations and agenda.

§  Plan quarterly meeting dates, together with host.

§  Ensuring flow of the chapter meetings.

§  Ensuring membership reports and business meeting minutes are forwarded to the GMP TEA Board of Directors to comply with requirements.

§  Appointing a replacement should a vacancy occur in an elected office, subject to approval by other chapter officers and the GMP TEA Board of Directors.

§  Appointing, as appropriate, persons to perform specific functions for the Chapter, and shall provide appointees with a guideline of duties and goals associated with appointment.

§  At the conclusion of their term, serving as an Advisory Member to ensure continuity of the organization.

 

8.6.2. Vice President:

This officer assists in the leadership of the chapter as determined by the President. Specific duties of the Vice-President include:

§  Acting as Presiding officer for the chapter in the absence of the President.

§  Acting as a liaison to other professional organizations as directed by the President.

§  Providing visible support at chapter meetings and other functions.

§  Surveying the chapter membership, on an annual basis, to assess the performance of the organization.

§  Perform the duties of the President in the absence of the President.

§  Assumes Presidency in the event of a Presidential resignation or a status change of membership.

In the event of resignation of the President, the Vice-President assumes the Presidency. If that resignation comes within the first six months of a term, a special election will be held to fill the Vice-Presidential position for the remainder of that term.

 

8.6.3. Secretary:

This officer is charged with maintaining and distributing accurate records of chapter meetings.  Specific duties of the Secretary shall include:

§  Recording business meeting minutes

§  Ensuring a copy of the minutes is submitted to the Chapter Officers for review and subsequently forwarded to the GMP TEA Board of Directors, as required.

§  Maintaining correspondence pertaining to the activities of the chapter.

§  Maintaining a file (preferably electronic) of all minutes, agendas, and materials distributed at association meetings.

§  Providing visible support at chapter meeting and other functions.

 

8.6.4. Treasurer:

This officer is responsible for managing the monies collected through donations from the membership to cover incidental costs (i.e. food, website hosting, etc.).  The duties of the Treasurer shall include:

§  Maintaining chapter finances, as applicable.

o   Collecting monies for meeting fundraisers

o   Maintaining a ledger of monies collected and spent

o   Ensuring the cost of the website is covered annually.

§  Reporting the chapter finances to the chapter members.

o   Reporting annually to the membership the status of the treasury, including monies taken in and spent

o   Notifying the Chapter Officers of monies available in the treasury, and of any expenditures.

§  Forwarding a copy of the chapter finances to the GMP TEA Board quarterly.

§  Holding any chapter monies in such a way that they do not compromise the not for profit operational status of the GMP TEA and are handled in compliance with state and local regulations.

 

8.6.5    Membership Coordinator:

This officer shall maintain and distribute accurate records of chapter membership, in accordance with GMP TEA and BETA eligibility requirements.  Specific duties of the Membership Coordinator shall include:

§  Being responsible for membership, including keeping the membership lists current.

§  Being responsible for notifying the membership of the date, location, and agenda for each meeting and for other official correspondence during the course of the year.

§  Managing meeting preregistration and nametags in advance of chapter meetings

§  Staffing the registration table at chapter meetings.

§  Providing the membership list, containing full contact information, to the Chapter Officers and the GMP TEA Board of Directors.

§  Providing visible support at Association meetings and other functions.

§  Supplying updates to the membership list to the GMP TEA Board of Directors after each chapter meeting.

 

8.6.6    Webmaster:

This officer maintains and updates the website for the chapter. Specific duties of this officer include:

§  Maintaining the chapter internet presence and website, including posting meeting announcements, meeting summaries and materials, and contact information for the organization.

§  Providing visible support at chapter meetings and other functions.

 

8.6.7    Advisory Members:

Advisory members are elected officers who perform tasks in support of the chapter as directed by the President. Their specific duties shall include:

§  Supporting the Chapter Officers in the performance of their duties.

§  Perform tasks as directed by the President

§  Standing in for the other officers as necessary.

§  Assisting in providing direction for the organization.

§  Providing visible support at chapter meetings and other functions.

 

8.6.8    Immediate Past President

The Immediate Past President remains an officer of the organization and member of the executive committee at the completion of their term. This officer provides support to the Chapter Officers and performs tasks as directed by the President. The specific duties shall include:

§  Supporting the Chapter Officers in the performance of their duties.

§  Providing continuity in the transition of newly elected officers.

§  Assisting the organization as directed by the President.

§  Providing visible support at chapter meetings and other functions.
